1. About these terms

SSK Capital is an M&A advisory firm. We help owners sell their companies. In these terms, "we" and "us" mean SSK Capital. "You" means the person using our website or app, and the business you act for.

By using ssk-us.com, app.ssk-us.com, or our business diagnostic, you agree to these terms and to our Privacy Policy. If you do not agree, please do not use them.

2. The website

Our website, including the Leadership Series, shares general information about M&A and selling a business. It is not financial, legal, tax, or investment advice for your situation.

• Sending us a message does not make you our client. We work for you only after we both sign an engagement letter.
• Past transactions on our site show our track record. They do not promise the same result for your business.
• Nothing on the website is an offer to buy or sell a business or securities.
• Our business diagnostic is an educational tool. Its results are a rough indication based only on your answers. They are not an offer of credit or a recommendation to enter any deal.

3. Your app account

The app is for SSK clients, the people they invite, and advisors they choose to share with. To use it:

• You must be at least 18 years old.
• You must have the authority to share information for the business you add.
• Give accurate details when you sign up.
• Keep your sign-in private. Do not share your account.
• You are responsible for the people you invite to your workspace.
• Tell us right away at info@ssk-us.com if you think someone used your account without permission.

4. Your business information

To sell a company, we need detailed and sensitive information about it. That includes financial statements, tax returns, customer and supplier details, contracts, and employee information. Sharing it with us is a normal part of the work.

• You own it. Uploading information to the app does not give us ownership of it.
• You give us permission to use it. We may store it, analyze it, and use it to value your business, prepare you for a sale, and run your sale process.
• We share it only as the Privacy Policy describes. That means with SSK staff working with you, advisors you choose, buyers you approve, and the service providers that run the app.
• You have the right to share it. Only upload information you are allowed to share. Some documents may include other people's information, such as employees' or customers'. Share those only when you have the right to.
• Accuracy matters. Our analysis is only as good as the information behind it. Tell us when something is wrong or out of date.

5. Sharing with an outside advisor

You can choose to share your company profile with an outside advisor, such as your accountant, attorney, or wealth advisor. When you do, that advisor can see your business's data in the app, including your financial detail, analyses, and documents.

• Sharing is always your choice. We never share your profile with an outside advisor on your behalf.
• Advisors can look but cannot change your data.
• You can stop sharing at any time. The change takes effect right away.
• Choose advisors you trust. Information an advisor already saw or downloaded is between you and them.

If you are an advisor a client shared with, use their information only to help that client. Do not share it with anyone else unless the client says you may.

6. Confidentiality

We treat your business information as confidential. We share it with potential buyers only with your approval, and normally only after the buyer signs a confidentiality agreement. If your engagement letter or a separate agreement has confidentiality terms, those terms apply too.

7. Valuations, AI, and estimates

The app uses automated analysis and AI to research your company, read documents, and estimate value. Keep these points in mind:

• A valuation in the app is an estimate. The price a buyer pays depends on the market, the buyer, and the deal.
• Automated analysis and AI can make mistakes. Some figures appear before an SSK professional has reviewed them. Check the facts about your business and tell us about errors.
• The app does not give a formal appraisal or a fairness opinion.
• The app does not give legal, tax, or accounting advice. Talk to your own professionals before you decide.

8. Market data

The app shows comparable deals and industry figures. Some come from public sources. Some come from data services we pay for. We show where each figure comes from.

Use this data for your own engagement with us. Do not resell it, publish it, or copy it in bulk.

9. Connecting other AI tools

You can connect an outside AI assistant, such as Claude or ChatGPT, to your SSK account. The connected tool can then read and act on your business's data, within the access your account already has. You can disconnect it at any time.

The outside tool's own terms and privacy policy apply to what it does with that data. Connect only tools you trust.

10. Rules for using our website and app

Please do not:

• Try to see another business's information, or get around security or access limits.
• Scrape, copy, or bulk download the website or app, other than your own business's information.
• Upload viruses or harmful code, or overload our systems.
• Reverse engineer the app.
• Use the website or app to break the law or to harm others.
• Upload information you do not have the right to share.

We may suspend or close an account that breaks these rules.

11. Our content

The website, the app, our articles, and our methods belong to SSK Capital. You may read and share our articles with a link back to our site. Reports we prepare for you are yours to use for your business and your sale, as your engagement letter allows.

12. Changes to the app

We improve the app often. We may add, change, or remove features. We try to keep the app available, but it may sometimes be down for maintenance or for reasons outside our control.

13. Ending your access

You can stop using the app at any time. To close your account or ask us to delete your business's data, email info@ssk-us.com. Our Privacy Policy explains what we keep and why.

We may end or pause access if you break these terms, if the law requires it, or when our engagement ends.

14. Our responsibility to you

We work hard to make the website and app accurate and reliable. Still, we provide them as they are, without promises beyond those in these terms or in your engagement letter.

To the extent the law allows, SSK Capital is not responsible for indirect losses from using the website or app, such as lost profits or lost opportunities. This section does not limit anything in your engagement letter, and it does not limit rights the law says we cannot limit.

If you misuse the website or app, or break these terms, and someone makes a claim against us because of it, you agree to cover our reasonable costs.

15. Governing law

Missouri law governs these terms. Any dispute about them will be handled in the state or federal courts in St. Louis County, Missouri, unless your engagement letter says otherwise.

16. Changes to these terms

We may update these terms. When we do, we will change the date at the top of this page. If a change is important, we will tell app users in the app or by email. Using the website or app after a change means you accept the new terms.
